Terms of Service
Last Updated: September 2026
1. Service Description
noseanite.info, operated by Noseanite ("Company," "we," "us," or "our"), provides a cloud-based software-as-a-service (SaaS) platform that enables users to access, manage, and utilize our proprietary software tools and applications via our website located at noseanite.info (the "Service"). These Terms of Service (these "Terms") constitute a legally binding agreement between you and Noseanite governing your access to and use of the Service. By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use the Service.
The Service provides users with a suite of online tools and functionalities designed to facilitate digital workflows, data management, and operational efficiency. The specific features, tools, and modules available may vary depending on your subscription level and the current configuration of the platform. We continually update and refine the Service to improve user experience, enhance security, and adapt to evolving technological standards. Any new features or tools added to the Service are automatically subject to these Terms upon release.
To the extent any aspect of the Service is construed as a sale of goods, the Uniform Commercial Code (UCC) Article 2 as adopted by the states shall apply to such aspects. Furthermore, in jurisdictions where applicable, the Uniform Computer Information Transactions Act (UCITA, adopted only in MD/VA/LA) may govern specific transactions related to computer information. However, the Service is primarily provided on a software-as-a-service basis, and these Terms are intended to govern the provision of access to and use of the Service as a service rather than a sale of software.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service strictly in accordance with these Terms and our then-current policies, including our Privacy Policy and Cookie Policy. You are responsible for ensuring that your use of the Service complies with all applicable local, state, and federal laws and regulations. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice, and we shall not be liable to you or any third party for such modifications, suspensions, or discontinuances.
2. User Accounts
To access certain features of the Service, you will be required to register for an account. You must provide accurate, current, and complete information during the registration process and promptly update such information to keep it accurate and current. You are solely responsible for maintaining the confidentiality and security of your account credentials, including your username and password, and you are entirely responsible for all activities that occur under your account. You agree to immediately notify Noseanite of any unauthorized use of your account or any other security breach.
To register for an account, you must be at least 13 years of age, or the age of digital consent in your jurisdiction, whichever is older. If we collect personal information from children under 13, we do so in compliance with the Children's Online Privacy Protection Act, 15 U.S.C. §§ 6501-6506 (COPPA) and the COPPA Rule as amended effective June 2025 (16 C.F.R. Part 312, 2025 amendments), which requires verifiable parental consent before collecting such information. If we become aware that we have inadvertently collected personal information from a child under 13 without verifiable parental consent, we will take steps to delete such information.
You may not use the Service if you have been previously removed or banned from the Service by Noseanite. Furthermore, you represent and warrant that you are not located in a country subject to a U.S. government embargo, nor are you listed on any U.S. government list of restricted or prohibited parties. One person or legal entity may not maintain multiple accounts for the same Service tier, nor may you share your account credentials with unauthorized third parties. Any suspicious or fraudulent account activity may result in immediate suspension or termination of your account.
You are responsible for all content and data you upload, transmit, or store through your account. Noseanite is not responsible for any loss of data resulting from account suspension, termination, or unauthorized access. We strongly encourage you to regularly back up your data. We reserve the right to refuse registration, cancel an account, or restrict access to the Service at our sole discretion if we believe that your account or use of the Service violates these Terms or poses a security risk to the Service or other users.
3. Acceptable Use Policy
You agree to use the Service only for lawful purposes and in a manner that does not violate the rights of others or restrict their use and enjoyment of the Service. Your use of the Service is subject to all applicable federal, state, and local laws and regulations, including but not limited to the Federal Trade Commission Act § 5, 15 U.S.C. § 45 (FTC Act — unfair/deceptive practices), which prohibits unfair or deceptive acts or practices in or affecting commerce. You must not engage in any conduct that could be considered unfair or deceptive under the FTC Act.
You must comply with all applicable U.S. privacy and data protection laws when using the Service to process personal information. This includes adhering to the notice-and-choice consent model prevalent in the United States, wherein opt-in consent is required for selling or sharing personal information under the California Consumer Privacy Act as amended by the CPRA (Cal. Civ. Code § 1798.100 et seq.) and honoring Global Privacy Control obligations (Cal. Civ. Code § 1798.120, § 1798.135). Furthermore, if you process data of consumers residing in other states, you must comply with the Virginia Consumer Data Protection Act (Va. Code § 59.1-575 et seq.), Colorado Privacy Act (C.R.S. § 6-1-1300 et seq.), Connecticut Data Privacy Act (Conn. Gen. Stat. § 42-515 et seq.), Utah Consumer Privacy Act (Utah Code § 13-11-101 et seq.), and other State comprehensive privacy laws (TX, OR, MT, FL, TN, etc.).
If your use of the Service involves financial information, you must comply with the Gramm-Leach-Bliley Act, 15 U.S.C. §§ 6801-6809 (GLBA) for financial institutions, including its requirements for safeguarding nonpublic personal information. If your use involves protected health information, you must comply with the Health Insurance Portability and Accountability Act (HIPAA) where applicable. Noseanite is not a covered entity or business associate under HIPAA unless a separate Business Associate Agreement is executed, and you are solely responsible for ensuring your use of the Service complies with HIPAA requirements.
You agree not to interfere with or disrupt the Service, servers, or networks connected to the Service. This includes complying with all applicable laws regarding electronic communications, such as the Electronic Communications Privacy Act, 18 U.S.C. § 2511 (limited application) and state wiretapping/cpw statutes (e.g., California Invasion of Privacy Act § 631, session-replay litigation). You must not use the Service to engage in unauthorized tracking, session replay, or interception of electronic communications without proper consent where required by law.
4. Prohibited Activities
You are strictly prohibited from engaging in any activities that could damage, disable, overburden, or impair the Service or interfere with any other party's use and enjoyment of the Service. Prohibited activities include, but are not limited to, accessing or using the Service in any manner that could violate any applicable law, regulation, or third-party rights, or attempting to probe, scan, or test the vulnerability of the Service or any related system or network.
You may not use the Service to upload, transmit, or distribute any content that is unlawful, defamatory, infringing, or fraudulent. Specifically, you must not upload content that infringes upon the intellectual property rights, privacy rights, or other proprietary rights of any third party. Engaging in unauthorized scraping, data mining, or reverse engineering of the Service is strictly prohibited. You may not use automated systems, such as bots or spiders, to access the Service for any purpose without our express written permission.
You are prohibited from using the Service to transmit any malicious code, viruses, worms, or trojans, or to engage in any form of cyberattack, including denial-of-service attacks. Additionally, you may not use the Service to send unsolicited communications, including spam, or to engage in any deceptive or fraudulent schemes. Violating the Restore Online Shoppers' Confidence Act, 15 U.S.C. §§ 8401-8405 (ROSCA) by using the Service to implement unfair negative-option features without clear disclosure and informed consent is strictly forbidden.
Any violation of these prohibited activities may result in immediate suspension or termination of your account, and we reserve the right to take any legal action necessary to protect our rights and the rights of other users. We may also cooperate with law enforcement agencies or regulatory bodies, such as the Federal Trade Commission, to investigate and prosecute any suspected violations of law. We may invoke the SAFE WEB Act permanently reauthorized 2015 (21st Century DOJ/Apps Act-era codification, 15 U.S.C. § 8401 note) to aid in cross-border enforcement against fraudulent or deceptive practices.
5. Content Ownership
All right, title, and interest in and to the Service, including but not limited to the software, user interface, graphics, text, and underlying code, are and will remain the exclusive property of Noseanite and its licensors. The Service is protected by intellectual property laws, including copyright, patent, and trademark laws. Nothing in these Terms grants you any right, title, or interest in or to the Service, except for the limited license granted herein.
You retain all right, title, and interest in and to the content, data, and information you upload, submit, or transmit through the Service ("User Content"). By uploading or submitting User Content, you represent and warrant that you own all necessary rights to such User Content or have obtained all necessary permissions and licenses to use and submit it. You are solely responsible for your User Content and the consequences of making it available through the Service.
Noseanite does not claim ownership of your User Content. However, by submitting User Content to the Service, you grant Noseanite a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, use, display, reproduce, modify, and distribute your User Content solely for the purpose of operating, maintaining, and improving the Service. This license will terminate when you delete your User Content or your account, except where required to comply with legal obligations or retain backups.
You acknowledge that Noseanite has no obligation to monitor User Content but reserves the right to review, modify, or remove any User Content that violates these Terms or is otherwise objectionable. We are not liable for any loss or corruption of User Content, and we recommend that you maintain independent backups of all data submitted to the Service. Any feedback or suggestions you provide regarding the Service may be used by Noseanite without any obligation or compensation to you.
6. User-Generated Content
The Service may allow users to post, upload, or otherwise make available content that can be viewed by other users or the public. You are solely responsible for the User-Generated Content you make available through the Service. You represent and warrant that your User-Generated Content does not violate any law, regulation, or third-party right, including intellectual property and privacy rights. Noseanite takes no responsibility and assumes no liability for any User-Generated Content posted by you or other users.
You agree not to post, upload, or transmit any User-Generated Content that is defamatory, obscene, indecent, abusive, or threatening, or that could constitute a violation of the FTC Act § 5, 15 U.S.C. § 45 (FTC Act — unfair/deceptive practices). Deceptive or misleading content, including fake reviews or fraudulent claims, is strictly prohibited. We reserve the right to remove any User-Generated Content that we believe, in our sole discretion, violates these Terms or is otherwise harmful to the Service or its users.
If you believe that any User-Generated Content infringes your intellectual property rights, you may submit a notification under the Digital Millennium Copyright Act (DMCA) to our designated copyright agent. We will respond to clear and complete notices of alleged infringement in accordance with applicable law. We reserve the right to terminate the accounts of users who are found to be repeat infringers of intellectual property rights.
Noseanite may provide tools or features that allow users to interact or collaborate. We do not guarantee the accuracy, completeness, or reliability of any User-Generated Content. You use the Service and rely on any User-Generated Content at your own risk. We are not responsible for any damages or losses resulting from your use of or reliance on User-Generated Content. You agree to indemnify and hold Noseanite harmless from any claims arising out of your User-Generated Content.
7. Payment Terms
Access to certain features of the Service may require payment of subscription fees. By subscribing to a paid plan, you agree to pay all applicable fees as described on the Service. All fees are billed in advance and are non-refundable except as expressly provided in these Terms or required by applicable law. We may change our fees at any time upon reasonable notice, but any changes will not affect your current subscription term, and you will have the opportunity to review and accept any new fees before your next billing cycle.
You must provide accurate and complete billing information, including a valid credit card or other approved payment method. You authorize Noseanite to charge your payment method for all fees incurred under your account. If your payment method fails, we may attempt to charge the method again or request alternative payment information. Your subscription will automatically renew at the end of each billing cycle unless you cancel it prior to the renewal date. All automatic renewals and negative-option features comply with the Restore Online Shoppers' Confidence Act, 15 U.S.C. §§ 8401-8405 (ROSCA), ensuring clear disclosure and informed consent for any recurring billing.
You are responsible for all taxes associated with your use of the Service, other than taxes based on Noseanite's net income. If applicable, we may issue invoices or receipts for your payments. You may cancel your subscription at any time through your account settings or by contacting our customer support team. Cancellation will prevent future renewals but will not result in a refund for the current billing period, except where required by law.
If you dispute any charge, you must contact us within 60 days of the charge date. We reserve the right to suspend or terminate your access to the Service if any charge is disputed or reversed, or if your account is past due. Any fees not paid when due may be subject to late charges and interest at the maximum rate permitted by law. We may engage third-party payment processors to handle your billing information, and your use of such processors is subject to their terms and conditions.
8. Service Modifications
Noseanite reserves the right to modify, suspend, or discontinue the Service, or any part thereof, at any time and without notice. We may impose limits on certain features of the Service or restrict access to parts or all of the Service without liability. We are constantly innovating and updating our platform to provide the best possible experience, which means that features, functionalities, and the overall user interface may change over time.
We will use commercially reasonable efforts to provide notice of any material modifications to the Service that may adversely affect your use of the Service. However, in certain circumstances, such as for security, legal, or operational reasons, we may need to make immediate modifications without prior notice. We are not liable for any modification, suspension, or discontinuance of the Service.
Any new features or tools added to the Service shall be subject to these Terms. We may also update or modify these Terms from time to time to reflect changes in the law, our business practices, or the Service itself. We will notify you of any material changes to these Terms by posting the updated Terms on the Service or sending an email notification. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.
If you do not agree to the modified Terms or changes to the Service, you may terminate your account and stop using the Service. We are not responsible for any loss or damage resulting from your failure to review updated Terms or modifications to the Service. It is your responsibility to regularly check the Service for updates to these Terms and any related policies.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Noseanite and its affiliates, officers, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of, or inability to access or use, the Service. This limitation applies regardless of the legal theory of liability, whether based on contract, tort, strict liability, or any other theory.
In no event shall Noseanite's total liability for any claim arising out of or related to these Terms or the Service exceed the amount you paid to Noseanite during the twelve (12) months preceding the event giving rise to the claim, or if you have not paid any fees, one hundred dollars ($100). This limitation of liability is a fundamental element of the basis of the bargain between you and Noseanite, and the Service would not be provided without such limitations.
The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied. Noseanite disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected. You use the Service at your own risk.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of certain damages, so some of the above exclusions or limitations may not apply to you. In such jurisdictions, Noseanite's liability shall be limited to the maximum extent permitted by law. You acknowledge that the limitations of liability and disclaimers of warranty set forth herein are an essential part of these Terms and form the basis of our agreement to provide
